1. Acceptance of Terms

Welcome to Blacktop Society ("App", "Service", "we", "us", or "our"). By downloading, installing, accessing, or using the Blacktop Society mobile application, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Blacktop Society. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the App following any changes constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 13 years of age to use this App. By using the App, you represent and warrant that:

• You are at least 13 years old
• If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you have obtained parental or guardian consent to use this App
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the App under applicable laws

3. Account Registration

3.1 Account Creation

To access certain features of the App, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, including but not limited to violations of these Terms. You may delete your account at any time by contacting us at support@blacktopsocietyapp.com.

4. User Content

4.1 Your Content

You retain ownership of any content you submit, post, or display through the App ("User Content"), including but not limited to photos, text, vehicle information, and profile information. By posting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your User Content in connection with operating and providing the Service.

4.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to post your User Content
• Your User Content does not violate the privacy rights, publicity rights, copyrights, or other rights of any person or entity
• Your User Content is accurate and not misleading

4.3 Prohibited Content

You agree not to post, upload, or transmit any content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy
• Promotes violence, discrimination, or illegal activities
• Contains sexually explicit material or nudity
• Promotes illegal street racing, reckless driving, or dangerous activities
• Infringes any patent, trademark, copyright, or other intellectual property rights
• Contains viruses, malware, or other harmful code
• Constitutes spam, advertising, or solicitations without our prior written consent
• Impersonates any person or entity
• Collects or stores personal information about other users without their consent

5. Location Services

5.1 Location Data Collection

When you enable location services, the App may collect and process:

• Your precise geographic location
• Location data while the app is in the foreground
• Location data while the app is in the background (if you enable this feature)

5.2 Location Sharing Controls

You have full control over location sharing:

• You can enable or disable location sharing at any time in the App settings
• You can choose who can see your location (friends only, or no one)
• You can disable background location access in your device settings

5.3 Location Data Usage

We use location data to:

• Show your location to friends you've approved (when enabled)
• Display nearby events, groups, and meetup points
• Help you find and connect with other car enthusiasts in your area

6. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the App, you consent to our collection and use of personal data as outlined in the Privacy Policy.

7. Prohibited Activities

You agree not to engage in any of the following activities:

• Using the App to plan, organize, or participate in illegal street racing
• Promoting or encouraging reckless or dangerous driving behavior
• Using the App while driving or operating a vehicle
• Circumventing, disabling, or interfering with security features of the App
• Using automated systems (bots, scrapers, etc.) to access the App
• Attempting to gain unauthorized access to other users' accounts
• Interfering with or disrupting the App or servers
• Violating any applicable local, state, national, or international law
• Harassing, stalking, or threatening other users
• Using the App for any commercial purpose without our consent

8. Safety and Driving

You acknowledge and agree that:

• You will not use the App while operating a motor vehicle
• You will comply with all applicable traffic laws and regulations
• Any meetups or events coordinated through the App must be conducted legally and safely
• You are solely responsible for your actions and driving behavior

9. Intellectual Property

9.1 Our Intellectual Property

The App, including its original content, features, and functionality, is owned by Blacktop Society and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

9.2 User Feedback

Any feedback, suggestions, or ideas you provide regarding the App may be used by us without any obligation to compensate you.

10. Third-Party Services

The App may contain links to third-party websites or services that are not owned or controlled by Blacktop Society. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by the use of any such third-party services.

11. Disclaimers

11.1 Service "As Is"

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee

We do not guarantee that:

• The App will be uninterrupted, secure, or error-free
• The results obtained from using the App will be accurate or reliable
• Any defects in the App will be corrected
• The App will meet your specific requirements

11.3 User Interactions

We are not responsible for the conduct of any user, whether online or offline. You agree to exercise caution and use your own judgment when interacting with other users, attending meetups, or participating in events organized through the App.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACKTOP SOCIETY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the App
• Any conduct or content of any third party on the App
• Any content obtained from the App
• Unauthorized access, use, or alteration of your transmissions or content
• Any accidents, injuries, or damages occurring at events or meetups

13. Indemnification

You agree to defend, indemnify, and hold harmless Blacktop Society and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any legal claim, you agree to try to resolve any dispute informally by contacting us at support@blacktopsocietyapp.com. We will attempt to resolve the dispute within 30 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.

14.3 Arbitration

Any dispute arising from these Terms that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Arizona, and the arbitrator's decision shall be final and binding.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms in the App
• Updating the "Last Updated" date at the top of these Terms
• Sending you a notification through the App or email

Your continued use of the App after any changes indicates your acceptance of the modified Terms.

16. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the App will immediately cease
• We may delete your account and User Content
• Provisions of these Terms that should survive termination will remain in effect

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Blacktop Society regarding your use of the App and supersede all prior agreements and understandings.

20. Consent to Electronic Communications
